We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of services.

4. User Obligations and Conduct

In the course of providing services, Yan Spa may receive confidential information from clients, including business strategies, technical specifications, trade secrets, financial data, and proprietary systems information. We agree to hold such information in strict confidence, to use it only for the purpose of providing the agreed-upon services, and to not disclose it to any third party without your prior written consent, except as required by law.

7. Limitation of Liability

To the fullest extent permitted by applicable law, YAN SPA MASSAGE LLC and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Fees for services shall be specified in the applicable service agreement or statement of work. Unless otherwise stated, all fees are quoted in United States Dollars and are exclusive of applicable taxes. Payment is due within thirty days of invoice date unless otherwise agreed in writing. Late payments may be subject to interest charges at a rate of one and one-half percent per month, or the maximum rate permitted by applicable law, whichever is lower.

12. Termination

We may terminate or suspend your access to our website and services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Provisions of these Terms that by their nature should survive termination shall survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Upon termination, your right to use our website and services will immediately cease. If you wish to terminate a service agreement, you may do so by providing written notice in accordance with the terms of that agreement.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States of America, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of our website and services shall first be attempted to be resolved through good-faith negotiation between the parties.

If a resolution cannot be reached through negotiation within sixty days, the dispute shall be resolved through binding arbitration in Salt Lake County, Utah, in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted by a single arbitrator, and the decision of the arbitrator shall be final and binding. Each party shall bear its own costs and fees, and the parties shall share equally the fees and expenses of the arbitrator.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
